Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Serra ("Serra", "we", "us", or "our"), including our AI-powered sales agent for WhatsApp (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent. The Service is intended for business use only.

2. The Service

Serra provides an AI agent that responds to messages on WhatsApp on behalf of your business, qualifies leads, answers questions, and books appointments. The Service relies on the WhatsApp Business Platform operated by Meta. Your use of WhatsApp is subject to the applicable WhatsApp and Meta terms, and you are responsible for complying with them.

AI-generated responses may occasionally be inaccurate or incomplete. You are responsible for reviewing how the Service is configured for your business and for the commitments made to your customers through it.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when registering and keep it up to date.
• Notify us immediately if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or messages to people who have not consented to be contacted.
• Violate any applicable law or regulation, including data protection and consumer protection laws.
• Send content that is unlawful, misleading, fraudulent, harassing, or harmful.
• Impersonate any person or entity or misrepresent your affiliation with anyone.
• Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service.
• Violate the WhatsApp Business Terms or Meta platform policies.

We may suspend or terminate your access to the Service if we reasonably believe you have violated this section.

5. Your Content and Data

You retain ownership of the content and data you provide to the Service, including your business information and customer conversations. You grant us a limited license to use this data solely to provide, maintain, and improve the Service, as described in our Privacy Policy.

You represent that you have the necessary rights and consents to share this data with us, including any personal data belonging to your customers.

6. Fees and Payment

• Paid plans are billed in advance on a monthly or annual basis according to the pricing shown at the time of purchase.
• Fees are non-refundable except where required by law or stated otherwise in these Terms.
• We may change our pricing with at least 30 days notice. Price changes apply from your next billing cycle.
• If payment fails, we may suspend the Service until payment is received.

7. Term and Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We may terminate or suspend the Service for breach of these Terms, extended non-payment, or where required by law. Upon termination, your right to use the Service ends and we may delete your data after a reasonable retention period, as described in our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, branding, and content created by us, is owned by Serra and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

9. Third-Party Services

The Service integrates with third-party platforms and services, including WhatsApp, calendar tools, and CRMs. We are not responsible for the availability, accuracy, or conduct of third-party services, and your use of them is governed by their own terms.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will always be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, Serra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Serra harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of a third party, including your customers.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Malaysia, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Malaysia.
